Prize Draw Terms and Conditions – Effective from 22 June 2026

1. The Promoter

1.1  The promoter of this prize draw is Fusion Holdco Ltd (trading as “FCG”), a company registered in England and Wales whose registered office is at Marlborough House, 298 Regents Park Road, London N3 2SZ (the “Promoter”).

2. Eligibility

2.1  The prize draw is open to clients of FCG who refer a business opportunity to FCG during the relevant monthly draw period (each, a “Referral”).

2.2  Where the referring client is a body corporate, limited liability partnership or other entity (a “Corporate Referrer”), the Corporate Referrer shall be the entrant for all purposes of these terms and conditions. The Corporate Referrer shall nominate the natural person who submitted the Referral on its behalf (the “Nominated Individual”) for the purposes of administration and prize notification.

2.3  Only one Nominated Individual may be designated per Referral. Where a Referral is submitted jointly by more than one individual on behalf of a Corporate Referrer, the Corporate Referrer shall nominate the individual to whom administration of the entry is to be attributed, and the Promoter shall not be liable for any dispute between any such individuals.

2.4  The following persons are not eligible to enter the prize draw:

(a)  any person who is party to a paid introducer or referral agreement with FCG, or who submits a Referral on behalf of an entity that is party to such an agreement;

(b)  employees, officers and directors of Fusion Holdco Ltd or any of its subsidiaries (and members of their immediate families or households), who are covered by a separate employee referral scheme;

(c)  any person under the age of 18; and

(d)  any person who is not resident in the United Kingdom.

2.5  By entering the prize draw, each entrant warrants that:

(a)  the entrant meets the eligibility criteria set out in these terms and conditions;

(b)  where the entrant is a Corporate Referrer, the Nominated Individual is duly authorised by the Corporate Referrer to submit the Referral and to receive correspondence relating to the prize draw on its behalf; and

(c)  participation does not breach any applicable law, regulation or any policy of the entrant or, where the entrant is a Corporate Referrer, of the Corporate Referrer.

3. How to Enter

3.1  No purchase is necessary to enter the prize draw. Entry is automatic on the Promoter’s receipt and verification of a qualifying Referral. The making of a Referral is the promotional trigger for entry and is not a price of entry, a payment or a transfer of value in exchange for entry.

3.2  A qualifying Referral means the referral of a genuine business opportunity to FCG across any of its service lines. It is not necessary for the Referral to result in an instruction or fee-earning engagement.

3.3  A Referral must be submitted by email to referrals@fcg.co.uk (or via such other referral form or channel as the Promoter notifies from time to time) and is entered into the draw once the Promoter has recorded it and confirmed it as a qualifying Referral. The Promoter’s record of Referrals received and verified shall be conclusive.

3.4  By submitting a Referral, the referrer confirms either that the referred person has agreed to be contacted by FCG in connection with the Referral, or that the referrer reasonably believes the referred person would expect and welcome such contact.

3.5  One entry into the draw shall be allocated for each qualifying Referral made during the relevant monthly draw period. There is no limit on the number of entries a single client may receive in any given month.

4. The Draw

4.1  Each monthly draw period runs from 00:01 on the first day of the calendar month to 23:59 on the last day of that calendar month (UK local time).

4.2  One winner shall be selected at random from all valid entries received during the relevant draw period. The selection shall be made by a verifiable random process (for example, a random number generator or independently supervised draw).

4.3  The draw shall take place within ten (10) business days of the end of the relevant calendar month.

4.4  The Promoter shall retain a record of each draw, including the entries considered, any entries excluded and the reason for exclusion, the date and time of the draw, the person conducting or supervising the draw, the winner, the date of notification and the date and method of prize payment.

5. The Prize

5.1  The prize is £1,000 per monthly draw, paid by bank transfer to a bank account held in the United Kingdom. The Promoter shall not make payment to any account held outside the United Kingdom.

5.2  Where the entrant is an individual, the prize shall be paid to the winner directly.

5.3  Where the entrant is a Corporate Referrer, the prize shall be paid to a UK bank account in the name of the Corporate Referrer by default. The Corporate Referrer may, by written authorisation signed by a person authorised to bind the Corporate Referrer, direct that the prize be paid instead to the Nominated Individual personally. The Promoter shall be entitled to rely on any such written authorisation without further enquiry.

5.4  The Promoter may withhold, redirect or substitute the prize where it reasonably considers that payment in the manner otherwise contemplated by these terms would breach any applicable law, regulation, employer or organisational policy, anti-bribery or anti-corruption rules, conflicts rules, or any professional or regulatory obligation applicable to the Promoter or the recipient.

5.5  The prize is non-transferable and no alternative cash prize is offered (the prize already being in cash form).

5.6  The Promoter reserves the right to substitute the prize for one of equal or greater value if circumstances beyond its reasonable control make this necessary.

6. Winner Notification, Claiming and Publication

6.1  The winner (or, in the case of a Corporate Referrer, the Nominated Individual on the Corporate Referrer’s behalf) shall be notified in writing (including by email) within five (5) business days of the draw taking place.

6.2  The winner must respond to the notification within fourteen (14) calendar days of being notified, confirming acceptance of the prize and providing the bank details required for payment.

6.3  If the winner does not respond within the period specified in clause 6.2, the Promoter reserves the right to select an alternative winner.

6.4  The Promoter shall publish the surname and county of the winner (or, in the case of a Corporate Referrer, the name and county of the Corporate Referrer) on its website or in associated marketing, unless the winner objects in writing or requests reduced publication. The Promoter shall make available, on request and free of charge, the surname and county of major prize winners and a statement of any reasonable steps taken to comply with the CAP Code.

7. Tax

7.1  The Promoter shall have no liability for any tax arising in connection with the prize. The recipient of the prize is solely responsible for determining and meeting any personal or corporate tax liability arising in respect of receipt of the prize, and is responsible for any reporting obligations to HM Revenue & Customs or any other tax authority.

8. Data Protection

8.1  The Promoter shall process personal data provided in connection with the prize draw in accordance with its privacy policy and applicable data protection legislation, including the UK General Data Protection Regulation and the Data Protection Act 2018.

8.2  Personal data provided in connection with the prize draw shall be used for the purpose of administering the prize draw and for related communications. The Promoter is part of the Fusion Consulting Group and may share personal data with other Group entities where permitted by law and in accordance with its privacy policy. The Promoter shall not otherwise disclose personal data to third parties save as required by law.

8.3  Where a Referral includes the personal data of a third party (including the contact details of the person or business being referred), the referrer confirms that the referrer is entitled to provide that data to the Promoter for the purposes of the prize draw and the related referral. The Promoter shall process that personal data in accordance with its privacy policy and shall provide the relevant privacy information to the referred person at the earliest reasonable opportunity, and in any event within one month of receipt of the data.

8.4  Any marketing communications sent by the Promoter or any Group entity to entrants or to referred persons shall be carried out only in accordance with applicable law, including the Privacy and Electronic Communications (EC Directive) Regulations 2003.

9. Limitation of Liability

9.1  Insofar as is permitted by law, the Promoter, its agents and distributors shall not in any circumstances be responsible or liable to compensate the winner or accept any liability for any loss, damage, personal injury or death occurring as a result of entering the prize draw or acceptance of the prize, except where caused by the negligence of the Promoter, its agents or distributors, or that of their employees.

9.2  Nothing in these terms and conditions shall exclude the liability of the Promoter for death or personal injury caused by its negligence, for fraud or fraudulent misrepresentation, or for any other matter in respect of which it would be unlawful to exclude or restrict liability.

10. General

10.1  The Promoter reserves the right to cancel, amend or suspend the prize draw or these terms and conditions at any time without prior notice, where it has reasonable grounds for doing so.

10.2  The Promoter’s decision in respect of all matters relating to the prize draw shall be final, and no correspondence will be entered into.

10.3  These terms and conditions shall be governed by and construed in accordance with the laws of England and Wales. Any dispute arising under or in connection with these terms and conditions shall be subject to the exclusive jurisdiction of the courts of England and Wales.

10.4  If any provision of these terms and conditions is found to be invalid or unenforceable, that provision shall be deemed deleted and shall not affect the validity and enforceability of the remaining provisions.

10.5  Where a Referral leads to the provision of services by an FCG brand that is regulated (including Fusion Law Ltd, which is regulated by the Solicitors Regulation Authority, and Fusion Financial, which is regulated by the Financial Conduct Authority), the provision of those services and any related referral arrangement are subject to that brand’s regulatory obligations, including any requirement to disclose the existence and operation of this programme to the new client at onboarding.
